Terms of Service

1. Acceptance of terms

These Terms of Service govern your access to and use of the Novel Signer website, desktop application, and related services provided by CoderMana Technologies Private Limited ("CoderMana," "we," "our," or "us"). By accessing or using Novel Signer, you agree to these Terms.

2. Eligibility and authority

You represent that you are legally capable of entering into these Terms and, if you use Novel Signer on behalf of an organization, that you have authority to bind that organization.

3. License and permitted use

Subject to these Terms and any applicable license terms, CoderMana grants you a limited, non-exclusive, non-transferable, revocable right to access and use Novel Signer for lawful business or internal use. You are responsible for ensuring that your use complies with applicable laws, regulations, contractual obligations, and digital signing requirements in your jurisdiction.

4. Your responsibilities

You are responsible for:

• The legality, accuracy, integrity, and authorization of files, signatures, and certificates you use with Novel Signer.
• Protecting your signing credentials, tokens, certificates, passwords, devices, and local systems.
• Reviewing output files and verifying that signatures, placements, metadata, and workflows meet your compliance requirements.
• Maintaining backups and appropriate operational controls before processing files.

5. Prohibited conduct

You may not:

• Use Novel Signer for unlawful, fraudulent, deceptive, or unauthorized purposes.
• Interfere with or disrupt the website, services, infrastructure, or other users.
• Reverse engineer, modify, copy, resell, sublicense, or create derivative services from Novel Signer except where permitted by law or license.
• Use Novel Signer in a manner that infringes intellectual property, privacy, confidentiality, or regulatory obligations.

6. Intellectual property

Novel Signer, the website, branding, and related materials are owned by CoderMana or its licensors and are protected by applicable intellectual property laws. Except for limited rights expressly granted in these Terms, no rights are transferred to you.

7. Your content

You retain ownership of your files, documents, images, certificates, signatures, and output. You grant us only the limited rights necessary to provide support or process communications you intentionally send to us. We do not acquire ownership of your content by virtue of your use of Novel Signer.

8. Third-party components and services

Novel Signer may interoperate with third-party hardware tokens, certificates, operating systems, storage providers, or open-source components. We are not responsible for third-party products or services, and their availability or behavior may affect your use.

9. Disclaimer of warranties

To the maximum extent permitted by law, Novel Signer is provided on an "as is" and "as available" basis. CoderMana disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted use, and error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, CoderMana will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business interruption, or replacement costs arising out of or related to your use of Novel Signer, even if advised of the possibility of such damages.

To the maximum extent permitted by law, CoderMana’s aggregate liability arising out of or related to Novel Signer will not exceed the amount you paid to CoderMana for the applicable product or service in the twelve months preceding the event giving rise to the claim, or INR 10,000 if no fees were paid.

11. Indemnity

You agree to indemnify, defend, and hold harmless CoderMana and its officers, directors, employees, and affiliates from claims, liabilities, damages, losses, and expenses arising from your use of Novel Signer, your content, or your violation of these Terms or applicable law.

12. Suspension and termination

We may suspend or terminate access to the website or related services if we believe you have violated these Terms, created risk, or if suspension is necessary for security, maintenance, or legal reasons.

13. Changes to these terms

We may update these Terms from time to time. Updated Terms become effective when posted unless a later date is stated. Your continued use after the effective date constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to applicable law, courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from or relating to these Terms or Novel Signer.
